End-User License Agreement

This End-User License Agreement (“Agreement”) is entered into between KosherHub (“KosherHub,” “we,” “us”) and the individual or entity (“you”) that accesses the KosherHub platform (the “Platform”), including the QuickBooks Online integration. By using the Platform you agree to this Agreement.

1. License Grant

Subject to your compliance with this Agreement, USA First Distribution grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes. No rights are granted to you other than as expressly set out here.

2. Acceptable Use

You agree not to:

  • Use the Platform to violate any applicable law, regulation, or third-party right.
  • Attempt to gain unauthorized access to the Platform, its underlying infrastructure, or any account that is not yours.
  • Reverse engineer, decompile, or attempt to derive the source code of any proprietary components except to the extent permitted by applicable law.
  • Use the Platform to send spam, distribute malware, or perform any activity that disrupts or degrades the Platform or other users.
  • Misuse the QuickBooks Online integration to access, modify, or export data from a QuickBooks company you are not authorized to manage.

3. QuickBooks Online Integration

When you connect a QuickBooks Online company to the Platform you authorize KosherHub to access and modify a limited set of records (customers, items, invoices, and account-classification metadata) on your behalf as described in our Privacy Policy. You can revoke this authorization at any time from the QuickBooks > Settings tab inside the Platform, or from the “My Apps” section of QuickBooks Online. Use of QuickBooks Online itself is governed by your separate agreement with Intuit.

4. Your Data

You retain all rights in the data you submit to or generate within the Platform (“Customer Data”). You grant KosherHub a limited license to host, process, transmit, and display Customer Data solely as needed to operate the Platform and provide the services you request (including pushing records to QuickBooks Online when you initiate a sync).

5. Intellectual Property

The Platform, including all software, design, content, and trademarks (other than Customer Data and third-party marks such as “QuickBooks” and “Intuit”), is owned by USA First Distribution or its licensors and is protected by intellectual property laws. This Agreement does not transfer ownership of any of the foregoing to you.

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR THAT ANY DATA SYNCHRONIZED WITH QUICKBOOKS ONLINE WILL BE COMPLETE, ACCURATE, OR FREE OF DEFECTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KosherHub SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE PLATFORM. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM RELATING TO THE PLATFORM SHALL NOT EXCEED THE FEES YOU PAID TO KosherHub IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS (USD 100) IF NO FEES WERE PAID.

8. Termination

We may suspend or terminate your access to the Platform at any time for material breach of this Agreement, abusive use, or in response to a lawful order. You may stop using the Platform and disconnect the QuickBooks integration at any time. Sections 4–9 survive termination.

9. Governing Law

This Agreement is governed by the laws of the [State of California, United States], excluding its conflict-of-laws principles. Any disputes shall be resolved in the state or federal courts located in that jurisdiction, and you consent to personal jurisdiction there.

10. Changes

We may update this Agreement from time to time. The current version will always be posted at this URL with an updated “Last updated” date. Continued use of the Platform after a change constitutes acceptance of the revised terms.
